Protostar service terms and conditions

1. Course Services

1. Beyond EdTech Limited (hereinafter referred to as Protostar Education) provides students with online live video teaching services by foreign teachers.

2. Protostar Education will determine the starting level for students based on their circumstances, and students and their parents agree that the course will begin from that level.

3. After each class, the video recording link of that class will be provided to the student, who can view the class video after logging in with their account.

2. Regarding Leave of Absence

1. Protostar Education adopts a "three fixed" teaching model with "fixed time, fixed teacher, and fixed classmates (if any)". Each course must complete at least 1 class per week, which will be postponed once if Protostar holidays are encountered. Once the class grouping is confirmed, if the student is unable to attend the class for any reason, the system will automatically deduct that class session. The course progress will continue, and students can watch the class replay in the personal center (except for 1-on-1 classes or when all students in the same class are absent) to make up for the missed class content. Parents may apply to our school for a make-up class within one month after the absence occurs. Protostar Education will arrange a make-up class of corresponding level within three months of receiving the application, based on the content of the missed class. However, the time and teacher for the make-up class may not be the same as the existing course, subject to Protostar Education's arrangement. When applying for a make-up class, Protostar Education will charge a one-time administrative fee of HKD 150 per session.

2. For every accumulated 18 classes purchased by students, they will receive one "Absence Class Return Voucher" (hereinafter referred to as Return Voucher). One Return Voucher can be exchanged for one session of the currently purchased course type, to offset classes deducted due to absence. For example: a "Semester Payment - 56 Classes" package will receive three Return Vouchers; for "Monthly Payment - 8 Classes" students, after accumulating to the 3rd month with 18 classes completed, one Return Voucher will be awarded, and so on. Note that classes for which make-up has already been applied, or classes awarded or returned for any reason, cannot use Return Vouchers and will not be counted in the cumulative class count.

3. If all students or the teacher in a class are absent or late for more than 15 minutes, the system will postpone that class session, meaning that class will be repeated in the next session. Postponed classes will not provide class replay links. If the class is postponed due to the teacher being late for more than 15 minutes, students will not have that class deducted.

4. Students must go to the "Class Exchange Zone" on the mobile member center to exchange Return Vouchers for classes. Note that only classes where students are absent or late for more than 15 minutes can be exchanged.

5. In special circumstances, if long-term suspension of classes is required (long-term definition: three consecutive sessions or more), please notify the Protostar Education class teacher 2 weeks (14 calendar days) before the first class you wish to suspend. Note that after suspension, if you wish to resume classes, the school does not guarantee a return to the original class.

6. If the class cannot proceed due to problems on Protostar Education's part (class interruption exceeding 15 minutes, excluding issues caused by students using equipment not approved by Protostar Education or unstable student-side internet), we will compensate affected classes in the form of gifted class hours, but the original course progress will not be affected.

7. If students request a refund from Protostar Education in accordance with the relevant provisions of Part 4 of this Agreement, each absence will be calculated as an already deducted class hour.

8. All terms in this section do not apply to [Designated Special Course Plans]. For details, please refer to the terms at the time of purchase.

3. Regarding Class Transfer

1. Protostar Education opens two periods each year to accept applications for class or teacher changes. First period: May 1 to September 30 each year; Second period: October 1 to April 30 of the following year. Within each period, one class transfer application is accepted. Once a class transfer is confirmed, it cannot be changed. If students fail to attend on time for any reason, that class will be automatically deducted, and tuition fees paid will not be refunded. For more than one transfer application within the same period, Protostar Education will charge an administrative fee of HKD 150 per application.

2. Protostar Education promises to arrange class transfers for students within two weeks of receiving the application. However, for the transferred class, we will try our best to arrange continuity of course content, but we do not guarantee that the course progress and teacher will be exactly the same as the original class. During the processing of class transfer applications, the student's existing class will continue normally, and no partial or full refund of class hours or tuition fees will be given due to student absence.

3. If the class transfer arrangement is initiated by Protostar Education (for example: the teacher believes that a student's level is not suitable and suggests a class transfer), it is not subject to the above terms, and Protostar Education will complete the class transfer arrangement for the student as soon as possible.

4. If the number of students enrolled in a class type is insufficient (2-person class or 3-person class), Protostar Education has the right to transfer students to classes of similar level to ensure that learning progress is not affected.

5. All terms in this section do not apply to [Designated Special Course Plans]. For details, please refer to the terms at the time of purchase.

4. Fee Payment and Course Refund

1. If students request withdrawal 24 hours before the first formal class, Protostar Education will refund the full course fee paid. Within 24 hours of the scheduled course start, no changes may be made to that class under any circumstances. If education services or other fees have already been incurred, Protostar Education will refund the remaining portion of the fees to the student after deducting the incurred fees. However, no refund will be provided for purchased courses or remaining class hours of 8 classes or less (one complete package) after deducting unused complete package quantities.

2. If students request withdrawal after the first formal class, Protostar Education will calculate the value of remaining unused complete packages (not including any form of non-paid courses, including but not limited to gifted classes, class hours obtained using Return Vouchers, etc.) at original price according to the proportion of completed class hours or training cycles. However, the following types of class hours are non-refundable:

a. Class hours obtained by participating in marketing activities will be retained after refund, valid for 90 days from the date of gift.

b. Renewal gifted classes will be considered canceled when renewal refunds are processed.

c. Transferred class hours (including any class hours shared or divided among more than one student when purchasing semester or academic year courses).

d. Class hours obtained by exchanging Class Return Vouchers.

3. Protostar Education has the right to cancel promotional policies that students received when purchasing courses during refund calculations.

4. Upon refund, Protostar Education will charge a one-time fee of 20% of the original order payment amount for administrative costs, payment processing fees, teacher scheduling vacancies, and textbook delivery costs.

5. Party B's refund will be completed within 30 days after Party A initiates the refund request.

5. Rights and Obligations of Both Parties

1. Rights and Obligations of Students:

a. Students and parents shall not affect the normal operation of Protostar Education's website, nor shall they affect the course progress and learning activities of other students;

b. During the course study period, students and parents may contact Protostar Education staff at any time if they encounter any problems;

c. Students and parents shall not disclose any communication records with Protostar staff without permission, including but not limited to social media conversation records, email correspondence records, etc.; shall not publish false statements that damage the reputation of Protostar Education or its employees;

d. Under any circumstances, students and parents shall not sell or transfer all or part of the training courses provided by Protostar Education in any way;

e. Students agree to equip themselves with broadband internet equipment and other software and hardware equipment required for studying Protostar Education courses;

2. Rights and Obligations of Protostar Education:

a. On the premise of ensuring training quality, Protostar Education has the right to improve, adjust and change its training services, course arrangements or other matters. However, Protostar Education shall promptly notify students and parents of any such changes through the website or contact methods specified in this Agreement;

b. Protostar Education shall provide corresponding technical support services within the agreed scope according to the requirements raised by students and parents, and promptly respond to questions and opinions raised by students and parents.

c. Arrangements for Substitute Teachers and Replacement of Regular Teachers
(1) Fixed Teacher Arrangement: Protostar Education commits to arranging a fixed teacher for each class to ensure continuity of learning and good interaction between teachers and students. However, we also clearly state that in the following circumstances, a substitute teacher may temporarily replace the regular teacher:
▪ Teachers are legally entitled to annual leave, sick leave, or other statutory holidays.
▪ Due to unforeseeable personal reasons, the teacher is temporarily unable to teach.

(2) Substitute Teacher Arrangement: In the above circumstances, Protostar Education will arrange a suitable substitute teacher with comparable teaching qualifications. The arrangement of substitute teachers will follow these principles:
▪ Substitute teachers will strictly follow the original course plan and teaching objectives.
▪ The number of classes and class hours taught by substitute teachers will be strictly controlled and will not negatively affect the overall teaching quality.

(3) Replacement Teacher Arrangement: If a teaching teacher resigns for personal reasons, Protostar Education will immediately arrange a new fixed teacher to take over their teaching work. The arrangement of new teachers will follow these principles:
▪ New teachers will undergo strict screening and matching to ensure they have teaching qualifications and abilities comparable to the original teacher.
▪ New teachers will familiarize themselves with students' learning situations and course progress as soon as possible to ensure continuity and stability of teaching.
▪ Any teaching changes caused by teacher holidays or temporary replacements do not constitute a violation of the "fixed teacher" commitment, and we will continue to be committed to providing students with high-quality educational experiences.

6. Personal Information and Confidentiality

1. To facilitate Protostar Education's understanding of student circumstances and better fulfill its obligations under this Agreement, students shall provide Protostar Education with some of the student's personal information. Students agree that Protostar Education may use students' personal information for internal teaching management and other purposes of the company, but shall strictly protect students' personal privacy in accordance with the law.

2. If changes occur in the student information provided by students, students shall promptly notify the Protostar Education course consultant; if Protostar Education is unable to contact students due to the student's failure to notify in time, causing the student's learning to be affected, the student shall bear the responsibility.

3. Students agree to properly keep their course account and password, and are responsible for any activities conducted by anyone using their account and password. If a student's account and password are used without authorization, or if any other security problems occur, the student shall immediately notify Protostar Education staff and request that Protostar Education staff suspend related services. Students shall not lend, transfer, or allow third parties to use their account and password. If Protostar Education reasonably suspects that a student has violated this agreement, Protostar Education has the right to temporarily suspend the use of the student's account. If Protostar Education finally confirms that the student has violated this agreement, Protostar Education has the right to immediately terminate this Agreement.

4. Without the written consent and authorization of Protostar Education, students shall not provide to or disclose to any third party in any way Protostar Education's technical information, business secrets, and other confidential materials and information obtained due to the conclusion or execution of this Agreement. In case of violation, Protostar Education has the right to immediately terminate this Agreement and require the student to compensate for its losses.

7. Intellectual Property Rights

1. The ownership and complete intellectual property rights of the following materials are enjoyed by Protostar Education:

a. All materials produced by Protostar Education for training courses (including but not limited to teaching materials, courseware, and teaching-related materials, etc.);

b. All materials generated in the teaching process (including but not limited to any teaching videos, teaching plans, etc.);

c. Software, programs, and content displayed, used, or provided on the Protostar Education website. Without Protostar Education's consent, students shall not use the above materials for commercial purposes at any time (including during the validity period of this Agreement and after the termination of the Agreement); translate, copy, disseminate, or edit the above materials in any way; or disclose the above materials to any third parties.

2. Students agree that in the training courses in which students participate, or other activities organized and held by Protostar Education in which students participate, Protostar Education may conduct recording activities such as photography, videography, audio recording, and video recording. Protostar Education independently enjoys complete intellectual property rights to works, audio and video recordings, etc. produced during the above recording activities. Protostar Education agrees to take strict confidentiality measures for students' personal information in accordance with the law. Without students' consent, Protostar Education shall not publicly use the above personal information containing students' portraits or other personal information showing personal identity for commercial purposes. Only when one of the following circumstances occurs, Protostar Education may reasonably use students' portraits, names, and other personal information, and Protostar Education does not need to separately obtain students' consent or pay any fees to students: (1) Students' portraits, names, and other legitimate civil rights and interests have been explicitly waived; (2) For Protostar Education's internal display/use needs, including but not limited to displaying in internal meetings, keeping relevant materials as historical archives in Protostar Education's archive library or on servers, etc.

8. Prohibition of Solicitation

1. Protostar Education's employees and teachers (including homeroom teachers) are an important supporting force for the company's survival and development. Without Protostar Education's consent, no one may, during the use of Protostar Education courses or after the end of courses, in any way solicit, request, or invite Protostar Education's employees or teachers to terminate or dissolve their service relationship with Protostar Education, or solicit, request, or invite Protostar Education's employees or teachers to accept any position provided by the student themselves or other individuals or organizations introduced by the student (whether formal, part-time, or temporarily organized activities).

2. In case of violation, students shall pay liquidated damages to Protostar Education, and the amount of liquidated damages shall be two (2) times the annual salary or remuneration of the position in Protostar Education held by the above-mentioned personnel before their departure.

The above terms may be modified by Protostar Education without further notice. In case of disputes, Protostar Education reserves the right to make final decisions.
